SORALINK TERMS OF USE

Acceptance

Please carefully read the following Terms of Use (the “Terms of Use”) of Soralink, a company legally incorporated under the name “Soralink Inc.” whose registered office is located at 170-9935, rue Châteauneuf, Brossard (J4Z 3V4), Quebec, Canada ("Soralink").

Soralink operates the present website (https://soralink.co ) and several other sub-domains derived therefrom) (the “Platform”), and the social media pages, account, website, network or any application contained therein designed and managed by Soralink (the “Social Media”).

The Terms of Use set forth the terms and conditions under which you may visit and use the Platform, as well as all written and other material presented on or available through the Platform or Social Media, including, without limitation, articles, text, photographs, images, illustrations, audio clips and video clips (the “Content”).

By deciding to use the Platform and Soralink’s Service, the user, understood as the end user or the organization you represent or for which you work (the “User” or “Users”) accepts all the Terms of Use indicated below, which govern the Content and the use of the Platform, as well as the Privacy Policy (the Terms of Use and the Privacy Policy, collectively the “Legal Notice”).

The terms “you” and “your” refer to the User.

Soralink provides its Users with a Platform offering, among other things, a contact form to facilitate their communication with Soralink, a personalized virtual demonstration which consists of a virtual meeting to discuss about your industry and maintenance challenges and any other service described on the Platform (the “Services”).

These Terms of Use are legally binding on the User and Soralink (the “Parties”). The Parties are entitled to invoke the present Terms of Use and to take all useful and necessary measures to ensure that they are respected.

By accessing and using the Platform, you agree to be bound by the terms and conditions herein. If you do not agree to these terms and conditions, you must not access or use the Platform. Soralink may modify these Terms of Use at any time by updating this posting. If you use the Platform following the posting of changes, it will indicate your acceptance of the new terms. You should visit this page periodically to review these Terms of Use.

Access and Use of the Platform

Use of the Platform

The Platform is intended solely for Users that are legal persons, partnerships, or other entities carrying on commercial activities ("Commercial Entity"). It is not designed for, nor offered to, consumers within the meaning of the Consumer Protection Act (CQLR, c. P-40.1) ("Consumer Act"), nor for personal use. Furthermore, certain services, functionalities, or features of the Platform may not be available to a User depending on their geographic location, local regulations, or technical restrictions. Soralink reserves the right, at its sole discretion, to limit or restrict access to the Platform or any part thereof in specific territories.

The Platform is accessible at all times. The Platform may be temporarily unavailable due to updates or technical problems. Soralink is not responsible for any interruptions in service or updates. Soralink tries to carry out updates when the number of visits to the Platform is at its lowest.

Soralink does not warrant that the Platform, or any part thereof, will be accessible on any particular hardware or peripheral device. Furthermore, the Platform may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.

Soralink reserves the right to add, delete and modify all or part of the content on the Platform, with the exception of the User’s own content. Soralink cannot be held responsible for mistakes, typographical errors or bugs. Each User is the owner of its own content transmitted to the Platform. Soralink will not delete anything unless a User requests it or unless the content transmitted to the Platform, published on Social Media does not comply with these Terms of Use. Soralink also reserves the right to delete certain personal data transmitted by the User in order to strengthen the security of personal data in accordance with the provisions of the Privacy Policy.

Each User of the Platform undertakes, without limitation, not to:

Use the Platform in a manner that could damage, disable, overburden or impair the Platform;
Disrupt the security of or otherwise abuse the Platform or any services, resources, systems, servers or networks connected to or linked to or accessible through the Platform or affiliated sites;
Disrupt or interfere with the use or enjoyment of the Platform by other services or affiliated or linked sites;
Upload, post or otherwise transmit on the Platform a virus or other harmful, disruptive or destructive computer file or program;
Use a robot, spider or other automatic device or manual process to control or copy the Platform pages or Content;
Transmit unsolicited emails, chain letters, spam or other types of mass email through the Platform;
Attempt to obtain unauthorized access to the Platform or portions thereof to which access is restricted. Furthermore, the User agrees that it is solely responsible for all actions and communications undertaken or transmitted to or on its behalf, and agrees to comply with all applicable laws with respect to its use of or activities on the Platform;
Open a request on the Platform with a false name;
Open a request on the Platform using someone else’s identity, unless the request is made by a family subscription company for a member of that same family; and
Publish a fake review or a vulgar and/or discriminatory review.

Platform modification

Soralink reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Platform (or any part thereof), with or without notice. Soralink shall have no liability to you or any third party for any modification, suspension or discontinuance of the Platform or any part thereof.

Prohibited use when contrary to law

You are prohibited from using the Platform in any jurisdiction where the Platform or any of its Content may violate any law or regulation. You agree not to access or use the Platform in such jurisdictions. You agree that it is your responsibility to comply with all applicable laws and regulations. Any violation of this provision - or any provision of these Terms of Use - is entirely at your own risk.

If you access, browse and use the Platform, this means that you have read, understood and accepted the Terms of Use.

The Platform is accessible on our website, and from any computing device (computer, smartphone, tablet, etc.) (the “Device”).

For optimum performance, we recommend the use of the following browsers:

Chrome;
Microsoft Edge;
Safari; and
Firefox.

Security & Data Transmission

Soralink takes the security of your personal information seriously. We implement commercially reasonable technical and organizational measures—including the use of industry-standard encryption (TLS/SSL)—to protect the integrity and confidentiality of the contact information you submit when booking a demo or contacting us.

However, please be aware that no method of transmission over the Internet is completely secure. While we strive to protect your information, we cannot guarantee its absolute security. You acknowledge that any transmission of data via our website forms is done at your own risk.

Security

You acknowledge and accept that browsing the web involves inherent risks and that computer and telecommunications systems are not fault-free and may cause interruptions in service. Soralink cannot guarantee that the Service and/or access to the Platform will operate in an uninterrupted, regular, secure or error-free manner, or that no loss of data will occur.

In addition, Soralink cannot guarantee the security of our databases or the confidentiality of any communication to or from the Platform or promise that the information you provide will not be intercepted as it is transmitted to us over the Internet. To the extent permitted by law, you are solely responsible for any damage to your Device and any loss of data resulting from any downloading of material from the Platform or otherwise.

Service

The Service of virtual meeting is available by booking a session on the Platform. The Service consists of a virtual meeting, as described on the Platform, followed, if relevant, by an on-site visit to better assess your maintenance and industrial challenges.

A contact form is made available to Users, enabling them to communicate with Soralink for inquiries, requests, or information related to Soralink’s services.

Please note that Users are not required to create an account in order to access or use the Services.

The User can choose the time and day of the Service from among those proposed by Soralink, and the appointment for the Service is confirmed immediately after booking.

The User is responsible for choosing a time when they are available. Soralink disclaims all liability for services provided by third parties arising from the Service.

The Services are those described on the Platform.

Certain additional fees may be charged by third parties in connection with their provision of services arising from the Service. These will be billed by the third-party provider directly to the User. Soralink cannot be held liable for any additional fees charged by a third party.

In order to book an appointment, you will need to:

select a time slot;
provide your name, surname, e-mail address, and business name; and
describe the reason for your request.

Once all this information has been submitted, Soralink will proceed with your request by confirming your appointment for the Service. It is the User’s responsibility to select the appropriate options from those offered when using the booking tool provided on the Platform. Soralink cannot be held responsible for a Service that does not correspond to the User’s actual situation if the User has omitted elements when using the Service.

The Service request using the booking tool must be in the name of the Commercial Entity or under the conditions set out in the Terms of Use.

The User must be connected at the time of the appointment for the Service proposed and accepted by Soralink. In the event of repeated failure to comply with this obligation, Soralink may, at its sole discretion, suspend or cancel access to the Service.

Soralink is not responsible for any technical problems that may occur during the provision of the Service. Soralink declines all liability for services provided by third parties arising from the Service.

Intellectual Property

Unless otherwise indicated, all intellectual property rights (trademark, copyright, etc.) (the “Intellectual Property”) related to the Platform or the Social Media are the exclusive property of Soralink. You may not copy or use any of the material, structure, menu, appearance or characters that appear on the Platform without the express consent of Soralink.

Certain names, words, titles, phrases, logos, icons, graphics, designs, domain names or other content contained on the Platform may, among other things, be registered or unregistered trademarks or trade names (the “Trademarks”). These Trademarks are protected by Canadian and foreign trademark laws and are the exclusive property of Soralink.

Without limiting the generality of the foregoing, the elements of Intellectual Property belonging to Soralink include, but are not limited to, the following elements:

All logos, drawings, graphics, photos, videos, trademarks (registered or not), symbols, texts, expressions, words and all general Content on the Platform or Social Media that are not already subject to intellectual property rights;
All software, APIs and materials made available by the Platform or the Social Media; and
All databases made available by the Platform or the Social Media.

Unless otherwise indicated, all information provided on the Platform or Social Media is the property of Soralink, and is protected by applicable laws. In addition, the information may not otherwise be copied, displayed, distributed, downloaded, unlicensed, modified, published, reproduced, reused, sold, transmitted or used for derivative works, public or commercial purposes without the express written permission of Soralink. The information is protected under the copyright and trademark laws of Canada and the countries that host the Platform or the Social Media.

Restricted license

Subject to the terms and conditions of these Terms of Use, they grant you a non-transferable, non-exclusive, limited license to access, view and use the Platform and its Content for your individual, non-commercial use. You may download, store and/or print single copies of the restricted Content for your individual, non-commercial use, provided that you retain all copyright and other notices contained in such Content. You may not reproduce or republish any articles contained in the online Content. You must also comply with any additional requirements governing the use of any specific Content that may be presented on the Platform. In the event of a conflict between the terms of a license governing specific Content and these Terms of Use, the terms of the specific license shall prevail.

Any unauthorized downloading, retransmission, copying or modification of Intellectual Property or data contained on the Platform or its Social Media may violate laws including trademark or copyright laws, and could subject the User to legal action.

External Links

By using a hyperlink, the User may leave the Platform to access external content (the “External Websites”). Soralink makes available to Users, in addition to its own Content, links to External Websites solely for the User’s information and do not represent a recommendation or endorsement by Soralink of any External Website or its content. Unless expressly stated, Soralink does not operate any External Internet Sites linked to the Platform. Soralink has no control over the content of these External Internet Sites and assumes no responsibility for their accuracy, precision, completeness, authenticity, timeliness or suitability. Soralink accepts no liability whatsoever, in particular for direct or indirect damage or consequences arising from the use of the contents of these External Websites. Soralink has no influence whatsoever on the content of linked external websites and accepts no liability for the careful selection and content of external links, in particular for any changes made after the link was set. Soralink does not require the transmission of information, does not select the recipients of the transmitted information or the information itself, and does not modify it. In addition, Soralink does not automatically make any short-term intermediate storage of these external links in accordance with the current method of creating and viewing links. Responsibility for the content of linked External Websites therefore rests exclusively with their operators.

In addition, Soralink does not warrant that the External Internet Sites or their contents do not violate any laws, including copyright, trademark or other third-party rights, or that they are free of viruses or other harmful components.

No guarantee is given as to the authenticity of the documents available on the Internet.

The following conditions apply when you access a Social Media page.

General statement

By using the Social Media pages and submitting a comment, photo, video or other material, you agree to be bound by and comply with Soralink’s Legal Notice and the terms of use of third-party Social Media providers. You also consent to Soralink copying, editing, publishing, translating and distributing your comment, photo, video or other material posted on its Social Media or linked to it, without compensation.

Social Media Terms of Use

Some of the comments and other materials posted on the Social Media pages may not represent the views of Soralink. Accordingly, you agree not to post or submit any information, postings, links or other materials of any kind to the Social Media pages that fall into any of the categories described below with respect to Soralink:

Any content that is or may be defamatory, abusive, counterfeit, obscene, misleading or illegal;
Any content that otherwise violates the rights (including privacy rights) of others;
Any content containing direct or indirect advertising;
Promotional documents or any form of unwanted and/or unsolicited solicitation;
Any content whose origin, source or element is falsified;
Any financial or personal information about you or any other person; and
Any information that Soralink, in its sole discretion, deems to be in violation of the Terms of Use.

Any information, message, link or item that Soralink considers, at its sole discretion, to fall within any of the aforementioned categories may be removed immediately, without previous notice and Soralink shall not, under any circumstances, be liable for such removal or for any resulting consequence.

The User undertakes to follow any instructions displayed by Soralink on the Platform concerning comments that may be posted.

Furthermore, Soralink does not assume responsibility for filtering messages posted on Social Media.

Soralink is not responsible for entities that own or operate Social Media, including any direct or indirect loss or damage arising from any action or decision made by you or any other person in connection with the use of Social Media websites.

Comments and Feedback

The User hereby assigns to Soralink, all right, title and interest in and to any ideas, know-how, concepts, techniques or other intellectual property rights contained in any notice, comment or feedback, made in the User’s own name or on behalf of others and with their consent, without any attribution or compensation, and Soralink shall be free to use the same for any purpose whatsoever, although Soralink shall have no obligation to use the notice, comment or feedback.

At all times, you are responsible for exercising discretion regarding the content of the information you publish via the Platform. Soralink does not control the information you post, and such information remains the sole responsibility of its author.

Disclaimer, Exclusion of Warranty and Indemnification

Soralink does not guarantee the accuracy, completeness, quality, suitability or content of the information on its Platform. This information is provided “as is” without warranty or condition of any kind, either express or implied, including, but not limited to, implied conditions and warranties of merchantability and fitness for a particular purpose, except in jurisdictions that do not allow the exclusion of implied warranties.

Soralink is not responsible for the content posted on the Platform by Users and for any damage that may result therefrom. Each User is responsible for the content exchanged on the Platform and may not use the Platform for purposes contrary to the laws applicable in Quebec and Canada.

Even if the Platform is not designed for, nor offered to, consumers within the meaning of the Consumer Act, nor for personal use, if a consumer, within the meaning of the Consumer Act, nevertheless, uses the Platform, nothing in these Terms of Use shall be interpreted as excluding, limiting, or waiving any right or warranty that may not be lawfully excluded under the Consumer Act.

Except where the Consumer Act is applicable, Soralink shall not be liable for any direct, indirect, special, incidental or consequential damages, or any other damages whatsoever, including but not limited to loss of revenue, profits or anticipated economic benefits, arising out of the use of or inability to use the Platform, the information, documents and software contained therein, and the content thereof, even if Soralink has been advised of the possibility of such damages or even if such damages can be reasonably foreseen.

You agree to indemnify, defend and hold harmless Soralink, officers, directors, employees, agents, licensors and their respective successors from and against any and all claims, demands, liabilities, costs or expenses whatsoever, including, without limitation, legal fees and disbursements arising directly or indirectly from:

your failure to comply with the terms of these Terms of Use;
your access to, use or misuse of the Platform, your reliance on any Content available on the Platform, or your inability to access the Platform or its Content (or any website linked to it or which may be linked to it from time to time); or
from your use of, reliance on, or publication, communication, distribution, uploading, downloading or transfer of the Content on the Platform.

You may not use or export the information or any copy or adaptation of the information in contravention of any applicable laws or regulations.

Modification of These Conditions

We occasionally update these Terms of Use. Continued use of the Platform constitutes the User’s agreement to these Terms of Use and any updates.

However, where the Consumer Act applies, Soralink will notify the Users of the Platform thirty (30) days prior to the coming into force of the amendment to these terms and conditions. This notification will be made by sending an email, informing the User of the possibility of consulting the details of the modifications on Soralink’s Platform. If the User does not accept these modifications and wishes to terminate the contract, it will have thirty (30) days at the latest following the entry into force of the modifications to send a notice to Soralink and terminate, without charge or penalty, its obligations to Soralink.

English and French

If the Terms of Use are available in more than one language and a problem of definition or interpretation arises between the French version and any other version of the Terms of Use, the French version shall prevail.

Interpretation

The headings of the preceding sections are inserted for reference purposes only and shall not affect the construction or interpretation of the provisions of these Terms of Use.

Whenever the context requires, any word written in the singular also includes the plural and vice versa; any word written in the masculine also includes the feminine and vice versa.
